Subscriptions are for professionals only. Griotte is sold to freelancers, sole traders, companies and agencies, for the needs of their business. By subscribing, you declare that you act in that capacity.
Version of 22 October 2026. This is a translation of the conditions générales de vente; in case of difference, the French version prevails.
1. Purpose
These general terms of sale (“Terms”) govern the sale of subscriptions to the Griotte software for macOS (“the App”) by NexOps Consulting, EURL with a share capital of €1,000, 326 avenue de Cannes, 06580 Pégomas, France, RCS Grasse 992 603 217, VAT FR67992603217 (“the Publisher”), reachable at [email protected]. Any order implies acceptance of these Terms, which prevail over the Customer’s purchasing conditions.
2. Business customers
Subscriptions are reserved for professionals: freelancers, sole traders, companies and agencies (“the Customer”). By ordering, the Customer declares that they are buying for the needs of their business. The provisions of the French Consumer Code that protect consumers, including the right of withdrawal and consumer mediation, therefore do not apply. The Publisher does, however, offer a commercial “satisfied or refunded” guarantee (section 8).
3. Plans and prices
| Plan | Yearly | Monthly | Macs |
|---|---|---|---|
| Essential | €84 excl. VAT (Europe) or $84 (outside Europe) per year | €9 excl. VAT (Europe) or $9 (outside Europe) per month | 1 |
| Pro | €120 excl. VAT (Europe) or $120 (outside Europe) per year | €12 excl. VAT (Europe) or $12 (outside Europe) per month | 2 |
Prices exclude VAT. Prices in US dollars apply to customers outside the European Union to whom Stripe shows that currency. VAT is calculated at checkout by Stripe, from the country and VAT number entered by the Customer:
- Customer established in France: price excluding VAT plus French VAT at 20 %.
- Customer established in another European Union member state with a valid VAT number: invoiced excluding VAT, under the reverse-charge mechanism (article 196 of Directive 2006/112/EC).
- Customer established outside the European Union: no French VAT.
The content of each plan is described on the Pricing page. The Publisher may change its prices; a new price applies from the next renewal, after the Customer has been informed at least 30 days in advance.
4. Free trial
The App can be used free of charge for 30 days, with every feature, without a payment method or account. The trial is counted by the App from its first launch. At the end of the trial, tracking stops if no subscription is taken out; data already recorded remains readable and exportable.
5. Order and payment
Orders are placed on the Pricing page: the Customer chooses a plan and billing period, declares their professional status and accepts these Terms. Payment is processed by Stripe Payments Europe, Ltd. (Ireland); the Publisher never has access to card details. The contract is formed when payment is confirmed, and the licence is then delivered to the Customer.
Stripe issues an invoice for every payment, in the name of the Customer’s company and with its VAT number if given at checkout. It shows the amounts excluding VAT, the VAT and the total including VAT. It is sent by email and remains available in the customer portal.
6. Automatic renewal
The subscription is taken out for one month or one year, depending on the billing period chosen. It renews automatically for the same period, at the price then in force, until it is cancelled; the saved payment method is charged at each renewal.
7. Cancellation
The Customer may cancel at any time from the Stripe customer portal, reached through the “Manage my subscription” link on the Pricing page. Cancellation takes effect at the end of the current, already paid period: nothing more is charged and the licence stays valid until that date. Outside the guarantee in section 8, no partial refund is due.
8. Satisfied or refunded guarantee
Within 14 days of the first payment of a subscription, the Customer may ask for a full refund, without giving a reason, by writing to [email protected] from the email address used for the purchase. The refund is made to the original payment method within 7 days of the request. The subscription then ends and the licence is revoked: it is no longer renewed and the Customer stops using it. Later renewals are not covered by this guarantee.
9. Licence and use
The subscription grants the Customer a non-exclusive, non-transferable right to use the App, for the needs of their business, for the duration of the subscription and on the number of Macs provided by their plan: 1 Mac for Essential, 2 Macs for Pro. The licence is a signed key, renewed automatically by the App before each renewal date while the subscription is active.
The Customer may not resell, rent or redistribute the App or its licence, use it on more Macs than provided, or decompile it except where the law allows. When the subscription ends, tracking stops; data remains readable and exportable, with no time limit.
10. Availability and updates
The App runs on the Customer’s Mac and does not depend on a server for its data. Updates are included in the subscription and offered by the App. The Publisher may change features without substantially reducing, during a paid period, those of the plan subscribed. The website and the licence service may be interrupted for maintenance; a valid licence keeps working offline.
11. Personal data
Activity data stays on the Customer’s Mac: the Publisher has no access to it and cannot restore it. It is the Customer’s responsibility to back up their Mac. Data related to the subscription is processed as described in the privacy policy.
12. Liability
The App is an aid: the Customer checks the durations and amounts it calculates before invoicing their own clients. The Publisher is bound by an obligation of means. It is not liable for indirect damage, such as loss of revenue, clients or data. Its total liability is limited to the amounts paid by the Customer over the 12 months preceding the event giving rise to it, except in case of gross negligence or wilful misconduct.
13. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code.
14. Changes to these Terms
The Publisher may change these Terms. The new version is published on this page and notified to the Customer at least 30 days before it applies to their current subscription; if they refuse it, the Customer may cancel before that date. Each order remains governed by the version in force on its date.
15. Governing law and disputes
These Terms are governed by French law. In case of disagreement, the parties first seek an amicable solution (write to [email protected]). Failing agreement within 30 days, any dispute is brought before the Tribunal de commerce de Grasse (France), which has exclusive jurisdiction.
